Free Website Terms of Service Agreement
Welcome to Free Website, a project by The Run Digital.
This Terms of Service Agreement (the "Agreement") is a legally binding contract between The Run Digital ("we," "our") operating the Free Website project, and you, either individually or on behalf of an entity ("you," "the Client"). This Agreement governs your access to and use of our website and services.
1. Acceptance of Terms
By accessing and using our services, you agree to be bound by this Agreement and our Privacy Policy. If you do not accept these terms, you should not access or use our services.
2. Project Description
Free Website is an initiative by The Run Digital designed to support local businesses by providing website design and maintenance services with no initial fees. Clients can choose from three service plans: Standard, All-in-One, and Professional, detailed on our pricing page.
3. Subscription and Payment
Billing Cycle: Billing occurs on the date of the initial payment. Payment is due by the tenth of the month following this date.
Late Payment: If payment is not received by the tenth day of the month, services may be interrupted. After a two-week grace period, we may terminate services if the account still remains unpaid.
Cancellation: Subscriptions may be paused or canceled at any time. Services must be resumed or permanently canceled within one month to avoid website deletion.
4. Discount Policy:
Annual Discount: An annual discount is applied to all selected plans, but this discount is not permanently guaranteed. The company reserves the right to remove this discount during future subscription renewals.
Urgency Discount: When a countdown or timer is activated on our website, a discount is generally applied to the available plans. If you subscribe to one of these offers during the countdown period, you may retain this discount permanently, though product pricing may be subject to change. 5. Project and Revision Phase
Initial Submission: Clients pay, select a service plan, and complete an onboarding form to provide all necessary information for website creation.
Revision Request: Within five days of form submission, clients receive a MarkUp link to request text and image changes. Clients must submit their revisions and notify RunDigital so that revision work can commence.
Final Delivery: After revisions are submitted, we complete the requested revisions and deliver the finalized website within seven days of form completion.
6. Intellectual Property
Client Materials: All original source files created for clients remain the client's property.
Promotional Use: We reserve the right to use any client project in our portfolio and for promotional purposes, unless specifically requested otherwise in writing by the client.
7. Prohibited Activities
You may not use our services for any illegal or unauthorized purposes. Additionally, your use of the service must not violate any laws.
8. Changes to Terms
We reserve the right to modify these terms at any time. All changes will be posted on our website and communicated to clients via email.
9. Termination
Services may be terminated by the client before the 20th of the preceding month. We reserve the right to terminate services for any violation of these terms or for any illicit activities.
10. Ethical and Industry Exclusions
We do not engage with certain industries, including but not limited to:
Spiritual/religious products or services
Music-related activities
Women's apparel
Adult content (suggestive or explicit)
Tattoo parlors
Gambling and betting
Vape shops and tobacco, cannabis products
Insurance services (of any kind)
Pork and alcohol-based products
Any business promoting one or more of these elements once the website is delivered risks entering a conflict zone. The Run Digital reserves the right to modify or remove the promotional element directly on the website. If the issue persists, The Run Digital reserves the right to remove the site and terminate the subscription. In this case, no refund for the previous months can be claimed by the client.
11. Data Protection Officer (DPO)
We provide a Data Protection Officer (DPO) or designated agent from our agency to act on behalf of our clients. However, we disclaim any liability in case of data breaches or other incidents. We strive to implement best security practices, but as an agency, we are not a cybersecurity team or insurance company and are not liable for financial damages. The DPO will only act in response to requests for data deletion or updates.
12. Data Security and Storage
We take data security very seriously and implement various measures, including encryption and restricted access, to protect your information. Please note that some client data may be stored on Google Drive. While we do our best to ensure the security of data stored on this platform, we cannot guarantee absolute protection against unauthorized access due to the inherent risks of internet-based services.
13. Conflict Resolution
Conflicts will first be attempted to resolve through direct discussion with the client. If unresolved, conflicts will be submitted to binding arbitration or court proceedings within the jurisdiction of Quebec, Canada.
14. Limitation of Liability
We are not liable for direct, indirect, incidental, or consequential damages resulting from the use of our services.
15. Indemnification
You agree to indemnify and hold harmless Free Website, The Run Digital, and its affiliates from any claims, damages, or expenses arising from your use of the services.
